End Point Royalties

End point royalties (EPR) enable plant breeders to continue their research and develop new and improved varieties.

By purchasing seed from EPG Seeds (a division of Elders), you the grower, are agreeing to pay enduring end-point royalties on the crop you produce.

Payment of End Point Royalty

You must pay to Elders, by 30 April each year, or by such later time as notified to you in writing by Elders, the End Point Royalty (and any applicable GST) as set out in the Schedule for each tonne of harvested material sold or consumed by you, less any quantity of retained seed, in the previous twelve-month period.

Where clause 5 does not apply, Elders will, upon receipt of the information required to be provided by you under clause 2, issue a tax invoice to you for the End Point Royalty payable by you.

Elders reserves the right to charge interest for any amounts that are due but unpaid by you for a period of more than 30 days.

Royalties deducted by EPR Collector

If you sell harvested material to an EPR Collector, you agree that the EPR Collector will:

  • deduct End Point Royalties, including GST,from the sale price to be paid by the EPR Collector to you, for the harvested material sold.
  • pay the sum deducted to Elders to meet your End Point Royalty obligations under your licence.

The EPR Collector is required to issue you a tax invoice, for the amount of End Point Royalty (including GST) deducted and paid to Elders.  They must also advise us details of the payment on your behalf.

ROYALTIES DEDUCTED BY EPR COLLECTOR

If you sell harvested material to an EPR Collector, you agree that the EPR Collector will:

  • deduct End Point Royalties, including GST,from the sale price to be paid by the EPR Collector to you, for the harvested material sold.
  • pay the sum deducted to Elders to meet your End Point Royalty obligations under your licence.

The EPR Collector is required to issue you a tax invoice, for the amount of End Point Royalty (including GST) deducted and paid to Elders.  They must also advise us details of the payment on your behalf.

Other obligations

In addition to the above, you must:

  • make sure that anything you do in accordance with your licence complies with all applicable laws
  • promptly notify us if you become aware of any unauthorised propagation, production, reproduction, sale or use of any grain or fodder of the Varieties
  • allow purchasers of any harvested material to provide us and any of the entities listed in clause 3.1(a)(i) to (iv) with all information relating to you and the sale of your harvested material
  • if you plan to sell any property on which Seed or Retained Seed has been planted and the details of the sale.
